newcleo listed on Nasdaq with $247M — and only $31M of it came from the SPAC's own shareholders
Lead-cooled fast-reactor developer newcleo completed its merger with NewHold Investment Corp III on September 21 and began trading as NWCL on September 22, at a pre-money value of about $2.4 billion. Gross proceeds were $247 million against up to $429 million planned: an oversubscribed $216 million PIPE and $31 million left in NewHold's trust after redemptions.
newcleo, which is developing lead-cooled fast reactors and MOX fuel production, completed its business combination with NewHold Investment Corp III on 21 September after NewHold's shareholders approved it on 17 September. Its shares began trading on Nasdaq as NWCL on 22 September. The deal valued newcleo at about $2.4 billion before the money came in. Gross proceeds were about $247 million: an oversubscribed $216 million PIPE and $31 million from NewHold's trust account at closing. When the deal was announced in May it was set to raise up to $429 million. Jeffrey Lyash, former chief executive of the Tennessee Valley Authority and Ontario Power Generation, chairs the board. Why it matters
The listing is the event, and we record it. The composition of the money is the part worth reading. A SPAC's trust is the cash its own public shareholders put in; at closing each of them can take the shares or take the money back. $31 million remaining in the trust means most of NewHold's holders chose the money. The $216 million PIPE — institutions buying at the deal price — was oversubscribed. So the investors who looked hardest at newcleo bought more than they were offered, and the ones who had simply held the shell mostly walked away.
That split is typical of SPACs closing when sentiment is weak, and it is not a verdict on lead-cooled reactors. It does land newcleo on the market five days after Holtec pulled its IPO because nuclear equities were trading as AI proxies. newcleo got its listing done; it got it done with a little over half the money it set out to raise, and with the specialists rather than the public carrying the deal.
What to watch
How NWCL trades once lock-ups start to expire, what newcleo does with $247 million against a programme priced for $429 million, and its first licensing step on a lead-cooled unit in France or the UK.
Who's involved
Lead-cooled fast reactors fueled by reprocessed nuclear waste (MOX).
